Terms of Service

The agreement between you and Notepoint when you use this site or buy an engagement on it. Written to be read before checkout, not after something has gone wrong.

Last updated 20 September 2026

In plain terms

  • You buy a written scope at a published, GST-inclusive fee. What the engagement page lists is what we deliver.
  • Anything that changes the brief is quoted separately and never started without your written approval.
  • Once the fee is paid in full, the work made for you is yours. The general tools and know-how we bring stay ours, licensed to you inside the deliverable.
  • Our liability is capped at what you paid for the engagement concerned. We do not promise business outcomes.

This is a summary, not the agreement. The numbered clauses below bind us both, and where the two differ, the clauses prevail.

1. Scope of these terms

These terms are a binding agreement between you and Notepoint covering this website and every engagement bought through it. By browsing the site, opening an account or paying for an engagement, you accept them.

By ordering, you confirm that you are at least 18 years old and are authorised to commit the organisation you are ordering for.

Where we have both signed a separate written contract, or we have countersigned your purchase order, that document governs to the extent it conflicts with these terms. Anything it does not cover remains subject to these terms.

2. Who you are contracting with

Your counterparty is NOTEPOINT TECHNOLOGY PRIVATE LIMITED, registered at C-25, OLD PLOT NO-14, GALI NO-5, Guru Nanak Pura, Lakshmi Nagar, New Delhi, East Delhi, Delhi, 110092., GSTIN 07AALCN8507H1Z6.

We provide the services ourselves; we are not a marketplace, listing service or intermediary. If we bring in a specialist for part of the work, we remain responsible to you for all of it.

3. What an engagement is

An engagement is a one-time, fixed-scope, fixed-fee piece of work. Its page publishes the deliverables, the working-day timeline, what we need from you and the amount payable, before you spend anything.

  • Scope is the list of deliverables on the engagement page on the day you paid. Work not on that list is not part of the engagement.
  • Deliverables are what we hand over: for example source code, infrastructure definitions, pipelines, design files, dashboards, test suites or documents.
  • Kickoff is the point at which we hold your payment, your completed technical brief and the access the page asks for.
  • Handover is the point at which every deliverable has been provided to you as the engagement page describes.
  • Working day means Monday to Saturday, excluding public holidays.

Nothing sold here is a physical good. Ordering more than one unit of the same engagement repeats the scope rather than enlarging it: two units of an integration covering five endpoints cover ten endpoints, not one larger integration.

An engagement is not a block of hours, a reserved team or a retainer. Nothing renews automatically and there is no notice period.

4. Accounts and orders

You can check out as a guest or with an account. If you have an account, you are responsible for keeping its password safe and for activity under it; tell us promptly if you think someone else has accessed it. We may suspend an account we reasonably believe is being misused, and will tell you why.

Adding an engagement to your selection is not an order. An order is placed when you complete checkout, and is accepted only when the payment gateway confirms payment and we send an order confirmation. Until then there is no contract for that work.

We may decline an order and refund it in full where:

  • the engagement would not genuinely help you, and we would rather say so than take the fee;
  • the details supplied are incomplete, inaccurate or clearly test data;
  • the work would break the law, a platform policy or someone else's rights;
  • a listing or pricing error comes to light before kickoff;
  • we cannot deliver within the stated timeline.

5. Fees, GST and payment

  • All fees are in Indian Rupees and include GST. The amount shown at checkout is the amount charged; nothing is added later.
  • A tax invoice showing the GST component and our GSTIN 07AALCN8507H1Z6 is issued to the billing details you enter. Add your registered name, address and GSTIN there if you intend to claim input tax credit.
  • Payment is taken by UPI through a licensed payment gateway. Card numbers, UPI PINs and banking credentials never reach our servers.
  • No work starts until the gateway confirms payment. If money has left your account but the order still shows as unpaid, send us the order number and UPI reference and we will reconcile it.
  • Published fees may change. The fee shown when you paid is the fee for that engagement.
  • Any discount is a genuine reduction on our own published fee; we do not show inflated reference prices.
  • Third-party running costs are outside the fee unless the engagement page says otherwise. Cloud usage, software subscriptions, domain and certificate fees, app-store charges and paid API quotas are billed to you directly by those providers.
  • If your finance team needs a purchase order raised before payment, contact us with the order details first. Catalogue checkout is otherwise prepaid.

6. Kickoff, delivery and acceptance

Each engagement page states a timeline in working days. It starts only when we hold all three of: confirmed payment, your completed technical brief, and the access listed under what we need from you.

  • We confirm a delivery date at kickoff.
  • Delivery is remote. Work is committed to your repositories and set up in your own accounts, and handover material reaches you by email and through your dashboard.
  • Handover includes the documentation, sessions or recordings listed on the engagement page.
  • If we are going to miss a date, we will tell you before it passes, with the reason and a revised date.

Acceptance. After handover you have 7 working days to tell us in writing that something in the scope is missing or materially wrong, and we will put it right. If you raise nothing in that time, or you put the work into production use, the engagement is treated as accepted. Acceptance does not shorten any revision round or support window on the engagement page, or the defect remedy in clause 14.

The Delivery & Handover policy explains the process, the timelines and what pauses the clock.

7. Revisions and change requests

Where an engagement page includes a revision round, it is available within the window stated there. A revision refines what was delivered so that it matches the agreed scope. Sending it as one consolidated list helps it land faster.

A revision is not a way to rewrite the brief afterwards. The following are new work rather than revisions:

  • deliverables that were never in the published scope;
  • a change of direction, platform, framework or design language after work began;
  • requirements that existed at briefing but were not shared with us;
  • rework caused by a third-party system changing on your side.

We quote change requests separately, in writing, with their own fee and their effect on the date. Nothing extra is started or charged until you accept that quote in writing.

If we conclude partway through that the engagement you bought will not do the job, we will stop and tell you rather than spend your budget finding out. You can then switch to a more suitable engagement or take a refund under the Refunds & Cancellation policy.

8. What we need from you

A fixed date depends on both sides. You agree to:

  • give accurate business and billing details, and an email address you monitor;
  • complete the technical brief and provide the repositories, accounts, environments, design files, sample data and access the engagement page lists;
  • grant access at the narrowest permission level the work needs, through your own single sign-on where available, and revoke it after handover;
  • name one person who can answer questions and approve decisions, and keep them reachable during the engagement;
  • respond to review requests and questions within 7 working days;
  • confirm that any code, content, design, brand asset or data you give us is yours to share and is accurate;
  • use anonymised, masked or synthetic data wherever it will do. Do not share live personal data with us unless the engagement requires it and a data processing agreement is in place;
  • keep your own backups, and review and test everything before releasing it to production.

While we are waiting on you, the clock pauses and the delivery date moves by the same amount, at no extra charge. If we are still waiting 30 days after asking, clause 16 applies.

9. Intellectual property

In short: you own what we make for you, and we keep the general tools we bring to the job.

  • Your material. Code, content, data, designs, trade marks and brand assets you supply remain yours. We receive only the licence needed to do the work, and it ends at handover.
  • The work product. When the fee is paid in full, all rights, title and interest in the deliverables created specifically for you under that engagement pass to you, worldwide and in perpetuity. We keep no right to resell them and no claim over what you do with them.
  • Before payment clears, the deliverables remain ours and are licensed to you for evaluation only. Using unpaid work in production is a breach of these terms.
  • Our pre-existing material. Everything we owned before the engagement, or develop for use across clients, stays ours: libraries, scaffolding, reference designs, checklists, templates, methods and know-how. Nothing prevents us using general skills and experience gained while working with you.
  • Where our material is embedded in a deliverable, you receive a perpetual, worldwide, royalty-free, non-exclusive licence to use, host, modify and sublicense it as part of that deliverable, including passing it to a successor business or a later supplier. You may not extract it and sell it separately.
  • Open-source and third-party components remain under their own licences. We prefer permissively licensed components, identify the third-party components we introduce at handover, and ask you before using anything with copyleft obligations.
  • Naming you. We will not name you as a client, publish your logo or describe your systems without your written permission.

The design, copy, code and catalogue structure of this website are ours and may not be copied or republished without permission.

10. Confidentiality

Confidentiality applies in both directions, from the first conversation.

  • Confidential information means anything either side shares that is marked confidential or that a reasonable person would treat as confidential, such as source code, architecture, credentials, roadmaps, customer lists, commercial terms, security findings and unreleased work.
  • Each side will use it only to perform the engagement, share it only with people who need it for that purpose, and protect it at least as carefully as its own.
  • It does not cover information that is public without a breach, was already lawfully held, is independently developed, or must be disclosed by law or court order. In that last case, the disclosing side will give notice first unless legally prevented.
  • These obligations last for 3 years after the engagement ends, and indefinitely for source code, security findings and trade secrets.
  • Security assessment findings are reported to you alone. We do not publish or disclose them without your written consent.
  • We are happy to sign a mutual non-disclosure agreement before any brief is shared.

Access to your systems is time-limited and revoked at handover. Please do not send credentials over chat or email; use a secrets manager or your own identity provider.

11. Personal data

How we handle personal data about you (account, billing, order and brief) is set out in the Privacy Notice, written against the Digital Personal Data Protection Act, 2023.

Where an engagement requires us to process personal data belonging to your users, you remain the Data Fiduciary and we act only on your documented instructions. In that case we agree a data processing agreement before work starts, covering purpose limitation, security, sub-processing, breach notification and deletion at the end of the engagement.

12. Third-party services and licences

  • Cloud platforms, software services, APIs, app stores, registries and domain registrars are contracted by you, in your own name, and paid for by you directly. That way nothing has to be rebuilt or moved if you stop working with us.
  • Their availability, pricing, limits, policy changes and account decisions are outside our control. We are not liable for an outage, suspension, breaking change or price rise imposed by a third party, though we will flag risks we can see.
  • Where the work depends on a paid licence, plan or quota, the engagement page says so. Buying it is your decision and cost unless we have agreed otherwise in writing.
  • Third-party licence terms bind you as they bind us. We identify the relevant ones at handover so that a later audit holds no surprises.

13. Acceptable use

We will not build, host, operate or advise on anything intended to:

  • break Indian law, or the law of the place where the system will run;
  • run unlicensed gambling or lotteries, or trade in narcotics, weapons or counterfeit goods;
  • create or distribute malware, credential harvesters, botnets or ransomware;
  • scrape or spam in breach of another platform's terms, or send unsolicited bulk messages;
  • track, profile or surveil identifiable people without a lawful basis and their knowledge;
  • host material that exploits children or is otherwise unlawful;
  • make misleading financial, medical or investment claims;
  • infringe anyone's intellectual property, privacy or publicity rights.

You also agree not to probe, overload, reverse engineer or interfere with this website, scrape the catalogue, or place fraudulent orders.

If we find our work being used in any of these ways, we will stop immediately and report it where the law requires. No refund is due for work already performed in that situation.

14. Warranties and what we do not promise

What we warrant.

  • The work is performed with reasonable skill and care.
  • At handover, the deliverables materially conform to the scope published on the engagement page.
  • We have the right to grant the rights in clause 9 and, to our knowledge, the work product does not infringe a third party's intellectual property.

The defect remedy. If you report a material defect that comes from our work, rather than a change on your side, within the support window stated on the engagement page (or, where none is stated, within 15 days of handover), we correct it at no charge. That correction, or where it is not possible a refund under the refund policy, is your primary remedy.

What we do not promise.

  • That any software is entirely free of defects.
  • That the work keeps running unchanged as operating systems, runtimes, browsers, cloud services and third-party APIs change around it.
  • Any commercial or operational outcome, such as revenue, conversion, uptime, speed, ranking, funding or savings.
  • That a security review or test finds every vulnerability. An assessment reports what was found within the agreed scope and period; it is not a certificate of security.
  • That this site or any dashboard is available without interruption.

To the extent the law allows, all other warranties, conditions and terms implied by statute or common law are excluded.

15. Limitation of liability

  • Our total liability arising from or connected with an engagement, on any basis, is limited to the amount you actually paid for that engagement.
  • Neither side is liable for indirect or consequential loss, including lost profit, lost revenue, lost or corrupted data, loss of goodwill, business interruption, wasted management time or anticipated savings.
  • We are not liable for loss caused by a failure on your side to keep backups, test before release, keep dependencies updated after handover, or act on a risk we raised in writing.
  • Any claim must be brought within 12 months of handover of the engagement concerned.

Nothing here limits liability that cannot be limited by law, including for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence. Your statutory rights as a consumer are unaffected.

16. Suspension and termination

You can stop buying from us at any time. There is no minimum term, nothing renews and there is no notice to serve.

We may suspend work, or end an engagement, where:

  • a payment fails, is reversed or is charged back;
  • information, approvals or access we asked for have not arrived 30 days after the request;
  • clause 13 has been breached;
  • continuing would put us in breach of the law or a professional obligation;
  • either side becomes insolvent or stops trading.

On termination, fees for work already performed remain payable, and anything paid for but not delivered is refunded under the Refunds & Cancellation policy. Paid work in progress is handed over in its current state, documented as far as it goes, and our access to your systems is revoked. Clauses 9, 10, 11, 14, 15 and 18 survive termination.

17. Force majeure

Neither side is liable for delay or failure caused by events genuinely outside its reasonable control, such as natural disaster, fire, flood, epidemic, war, civil unrest, government action, failure of power or telecommunications infrastructure, or a major cloud or internet outage.

The affected obligations are suspended while the event lasts, and we will promptly tell you what has happened and how it affects your date. If it continues for more than 30 consecutive days, either side may end the affected engagement in writing, and we refund the fee for anything not yet delivered.

18. Governing law and disputes

These terms, and any dispute arising from them, are governed by the laws of India.

Before taking formal action, please use our grievance redressal process. If that does not resolve the matter, both sides will try in good faith to settle it within 30 days of a written notice of dispute.

Failing that, the courts with jurisdiction over our registered office (the address in clause 2) have exclusive jurisdiction. Nothing here removes your right to approach a consumer commission under the Consumer Protection Act, 2019.

19. General terms and changes

  • Notices. Notices under these terms must be in writing, by email to care@noteepoiint.com, or by post to the registered address above.
  • Assignment. You may not assign this agreement without our written consent, which we will not unreasonably withhold. We may assign it to a successor of our business without affecting your rights.
  • Subcontracting. If we involve a specialist in any part of the work, we remain responsible for their work as if it were our own.
  • No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship.
  • Non-solicitation. Neither side will solicit the other's people who worked on an engagement, during it or for 6 months afterwards. Responding to a public job advertisement is not solicitation.
  • Severability. If a clause is found unenforceable, the rest remains in force and that clause is read down only as far as necessary.
  • No waiver. Not enforcing a right once does not waive it.
  • Entire agreement. These terms, the engagement page you bought from and any document we have both signed form the whole agreement. Nothing said in a call adds to it unless confirmed in writing.
  • Language. The English version of these terms governs.
  • Changes. We may revise these terms. The version published when you place an order governs that order, and the date at the top always reflects the current text. Material changes are flagged on this page.
